Continuation vehicles in the small and mid-market:

What determines the success of a transaction

Over the past few years, continuation vehicles have evolved from a niche solution into an established portfolio management tool. Particularly in the European small and mid-market, they offer the opportunity to support successful companies through an additional phase of value creation, provide existing investors with liquidity options, and supply fresh capital to fund future growth.

As their relevance continues to grow, so do the demands placed on investors. The success of a continuation vehicle is not determined solely by valuation and transaction structure. Equally important are the quality of the underwriting process, a compelling transaction rationale, robust governance structures, and whether the sponsor, management team, and investors are well positioned for the next phase of development.
